PHILADELPHIA, PA — Proscia has become part of Agilent Technologies Inc. (NYSE: A) following the completion of a $240 million cash acquisition that expands Agilent’s digital pathology business and adds artificial intelligence-enabled software to its clinical diagnostics and life sciences portfolio.
The transaction, initially announced in October 2026, includes up to $30 million in additional payments contingent on future performance milestones, bringing the potential total consideration to $270 million.
Proscia, a digital pathology software provider, now operates within Agilent’s Life Sciences and Diagnostics Markets Group. The acquisition combines Proscia’s software platform with Agilent’s pathology instruments and reagents, extending the company’s capabilities in tissue-based diagnostics, pharmaceutical research and drug development.
The deal also adds a recurring-revenue software business to Agilent’s pathology operations as the company expands its presence in the estimated $5 billion pathology market.
Proscia’s vendor-agnostic platform connects digital pathology images, laboratory information systems, data and artificial intelligence tools, allowing researchers and clinicians to manage and analyze tissue samples across different technology environments.
The software has received U.S. Food and Drug Administration 510(k) clearance for primary diagnosis, providing Agilent with an established digital pathology platform for clinical applications.
The integration is intended to support companion diagnostics, which help determine whether patients are likely to benefit from particular treatments, as well as biopharmaceutical drug discovery and routine clinical pathology workflows.
Proscia also brings an established customer base and a growing repository of real-world pathology data that Agilent plans to incorporate into its broader diagnostic and research offerings.
Agilent President and Chief Executive Officer Padraig McDonnell emphasized the platform’s role in expanding the company’s capabilities across clinical and research markets.
“Proscia’s talented team and leading vendor-agnostic digital-pathology platform enhance our ability to support customers across clinical diagnostics, biopharma, and life-sciences research,” McDonnell stated.
The acquisition follows Agilent’s purchase of Biocare Medical in June 2026, extending a series of investments in pathology technologies and strengthening its position across instrumentation, reagents and software.
Agilent supplies analytical instruments and related solutions to more than 285,000 laboratories across 110 countries. The addition of Proscia broadens its offerings to include software that integrates pathology imaging, laboratory data and AI-assisted analysis.
The combination also positions Agilent to provide more integrated tools for tissue-based precision medicine, where molecular and pathological information helps guide diagnosis and treatment decisions.
