PHILADELPHIA, PA — Datavault AI Inc. (Nasdaq: DVLT) is seeking a 19.9% ownership stake in DataMEDS AI Inc. (Nasdaq: MEDS) in exchange for expanded rights to its healthcare data technology, a proposed transaction that would give the Philadelphia-based company equity exposure and potential royalty income without transferring ownership of its intellectual property.
The companies have signed a nonbinding letter of intent outlining the arrangement, which would expand an existing technology licensing relationship. Datavault AI expects to complete the transaction during the fourth quarter of 2026, although the deal remains subject to due diligence, definitive agreements and customary closing conditions.
Under the proposed terms, Datavault AI would receive 19.9% of DataMEDS on a fully diluted basis in exchange for an expanded, largely exclusive license to its healthcare data management and monetization technologies. Certain exceptions to exclusivity would apply.
DataMEDS would assume responsibility for commercializing the licensed technology and covering associated costs, allowing Datavault AI to pursue revenue opportunities without directly financing the expansion.
The proposed agreement also contemplates potential royalty payments to Datavault AI from commercialization of the licensed technologies. The royalty structure remains subject to negotiation.
Datavault AI would retain ownership of its underlying patents and other intellectual property. It would also receive the right to designate one director to DataMEDS’ board following completion of the transaction.
The arrangement would extend an existing licensing relationship involving DataMEDS’ PharmacyChain platform and EinsteinRx AI capabilities.
Datavault AI plans to license additional technology designed to support patient-controlled access to healthcare information, including data generated through pharmacies, laboratories, wearable devices and other healthcare services.
The expanded capabilities would include systems for managing, valuing, monetizing and tokenizing health-related data. Tokenization involves representing information or associated rights through digital tokens that can be managed or exchanged within a technology platform.
The proposed transaction forms part of a broader effort by DataMEDS to expand its healthcare technology operations through relationships with several companies.
Those parties include EOS Technology Holdings Inc., Scilex Holding Company, HealthBridge Advisors LLC and REBOOT Health AI Inc.
The initiative follows recent U.S. Food and Drug Administration guidance addressing regulatory considerations for software associated with prescription drug use. The announcement did not establish that the proposed technologies have received FDA authorization or approval.
Datavault AI Chief Executive Officer Nathaniel Bradley indicated that negotiations have advanced beyond an initial stage.
“Given the significant amount of due diligence and document preparation that has already taken place under the previous LOI, we believe a fourth quarter 2026 closing is realistic,” Bradley stated.
The company’s relevant intellectual property includes U.S. Patent No. 12,100,025, covering user data management, and U.S. Patent No. 12,596,819, addressing data valuation and secure commercial monetization.
Datavault AI also identified U.S. Patent Application Publication No. 2022/0188925, concerning a data futures platform, among the technologies potentially relevant to the proposed arrangement.
The specific patents and applications included in the expanded healthcare license have not been finalized and will be determined through the definitive licensing documentation.
Neither company is obligated to complete the transaction under the nonbinding letter of intent. The parties may terminate the proposed arrangement under certain circumstances, including following the results of due diligence.
