RADNOR, PA — Mineralys Therapeutics Inc. granted stock options and restricted stock units covering a combined 74,900 shares to two newly hired non-executive employees, using equity incentives to support recruitment as the company advances its hypertension drug pipeline.
The Radnor-based biopharmaceutical company (Nasdaq: MLYS) granted the awards July 17 and July 20 under its 2025 Employment Inducement Incentive Award Plan, according to a company disclosure.
The first employee received an option to purchase 14,880 shares and restricted stock units covering 11,160 shares.
The second employee received an option to purchase 27,920 shares and restricted stock units covering 20,940 shares.
The option awards will vest over four years. Twenty-five percent of each award will vest on the first anniversary of its respective vesting commencement date, followed by monthly vesting of 1/48th of the underlying shares, subject to continued employment.
The restricted stock units will also vest over four years, with 25% becoming eligible to vest on each of the first four anniversaries of the applicable commencement date.
Mineralys said the awards were material inducements for the employees to join the company and were granted under Nasdaq Listing Rule 5635(c)(4), which permits certain equity awards outside shareholder-approved compensation plans for newly hired employees.
The company did not disclose the employees’ names, positions or the exercise prices of the stock options.
Mineralys is developing treatments for hypertension and conditions associated with dysregulated aldosterone, including chronic kidney disease and obstructive sleep apnea.
Its lead drug candidate, lorundrostat, is an investigational oral aldosterone synthase inhibitor.
