PHILADELPHIA, PA — Datavault AI Inc. (Nasdaq: DVLT) expanded its technology licensing agreement with DataMeds AI Inc. (Nasdaq: MEDS) to cover commercial healthcare, healthspan and wellness applications, while restructuring its consideration in the transaction as an approximately 19.9% common-stock stake in DataMEDS.
The amended agreement broadens the companies’ PharmacyChain blockchain-related licensing relationship beyond pharmaceutical distribution to include unencumbered commercial applications of Datavault AI’s intellectual property across those healthcare markets.
Datavault AI plans to extend its data monetization and real-world asset tokenization technology into DataMEDS’ healthcare data environment, targeting applications involving pharmacy, medical, laboratory and wearable-device data.
Under the revised terms, Datavault AI will receive common shares representing about 19.9% of DataMEDS’ common stock upon closing of previously disclosed related transactions. The original agreement called for Datavault AI to receive preferred shares.
The companies changed the consideration to common stock for tax purposes. Datavault AI expects the value of the shares it receives to be recognized as revenue when they are issued.
The issuance remains contingent on closing conditions, including the acquisition of two QOLPOM intellectual-property portfolios from EOS Technology Holdings and a controlling interest in Tollo Health LLC from HighBridge Advisors.
DataMEDS is also acquiring a behavioral healthcare patent portfolio developed at La Frontera Arizona by the late Arizona state Sen. David T. Bradley and Dr. Dan Ranieri through concurrent transactions involving EOS Technology Holdings and Scilex. The portfolio covers medical and pharmaceutical logistics, Internet of Things population-health applications, remote patient monitoring and artificial intelligence-based behavioral health technologies.
“Our business model depends on extracting greater value from the information we generate every day,” DataMEDS Interim Co-CEO Gerald Commissiong said. He characterized Datavault AI’s technology as a potential foundation for commercial uses of healthcare data and customer acquisition.
Datavault AI CEO Nathaniel T. Bradley framed the expanded relationship around patient control of health information.
“DataMEDS gives us a focused path to put that technology to work so individuals have a say over how their own medical information is transacted,” Bradley said.
DataMEDS, formerly Wellgistics Health Inc., completed its corporate name change in July and began trading under the MEDS ticker on the Nasdaq Capital Market on July 22.
The company is issuing a dividend of 50 Dream Bowl Meme Coin tokens for each share of DataMEDS common stock held as of the Aug. 7 record date. The dividend remains subject to change at DataMEDS’ discretion.
The companies executed the amendment before the remaining transaction conditions were completed, allowing them to begin work on the expanded technology relationship while the associated deals move toward closing.
