Charlton Aria Extends Merger Deadline to October 2027

Business news

WILMINGTON, DE — Charlton Aria Acquisition Corporation (Nasdaq: CHAR) has secured shareholder approval to extend its deadline for completing a business combination from October 25, 2026, to as late as October 25, 2027, giving the publicly traded acquisition company up to another year to finalize its proposed merger with KQC Quantum, Inc., the Delaware parent of a South Korean quantum computing business.

Shareholders approved the amendments at an October 19 special meeting, authorizing as many as 12 successive one-month extensions rather than requiring the transaction to close by the original October 2026 deadline.

The approval removes an immediate deadline constraint on the proposed transaction but does not complete the merger or guarantee its closing.

The business combination remains subject to customary closing conditions, including applicable regulatory and shareholder approvals, according to the companies.

Charlton Aria is a special purpose acquisition company, or SPAC, formed to acquire or merge with an operating business. Its proposed transaction with KQC would provide a route to the public markets for the quantum computing company if the deal is completed.

KQC Quantum is the Delaware parent of Korea Quantum Computing Co., Ltd., which was established in 2021 and operates from headquarters in Busan, South Korea, with an additional office in Seoul.

The company provides quantum computing technology and security services to enterprise customers, including financial institutions, industrial businesses and public-sector organizations.

Its Qubiteer platform uses artificial intelligence to translate business problems into computational models that can be processed using classical computing, quantum systems or combinations of the two.

KQC also provides access to quantum computing technologies, including systems developed by D-Wave, and supplies post-quantum cryptography products designed to protect information against emerging quantum computing threats.

The proposed combination would connect Charlton Aria’s public-market structure with KQC’s existing technology operations, although completion remains contingent on the outstanding approvals and other transaction requirements.

The shareholder vote authorizes extensions in monthly increments rather than establishing an unconditional closing deadline of October 25, 2027.

Charlton Aria disclosed the voting results and approved amendments in a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission.

The extension gives the companies additional time to pursue the transaction while leaving its ultimate completion dependent on the remaining closing conditions.
