KING OF PRUSSIA, PA — Universal Health Services Inc. (NYSE: UHS) completed its acquisition of Talkspace Inc. (NASDAQ: TALK), adding a nationwide virtual behavioral health platform to its hospital and outpatient network as the company expands across multiple levels of mental health care.
The transaction, first disclosed March 9, received the required regulatory approvals and satisfied customary closing conditions, UHS reported. The companies plan to begin integrating their operations while maintaining services for patients, providers and business partners.
Talkspace gives UHS a virtual-care operation serving all 50 states, Washington, D.C., and Puerto Rico through approximately 6,000 licensed providers. Its services are available to more than 200 million people through health plans, employers, employee assistance programs, schools and government organizations, while the company also serves self-pay customers.
The acquisition extends UHS’s behavioral health reach beyond its affiliated facilities and outpatient locations into virtual counseling, therapy and psychiatry. The company plans to connect those services with outpatient programs, crisis intervention, inpatient treatment and specialized care.
“We’re at an inflection point in how mental healthcare is delivered,” UHS President and Chief Executive Officer Marc D. Miller stated. “The addition of Talkspace expands our ability to connect people with care when, where and how they need it most.”
For UHS, the transaction also broadens its ability to serve employers and health plans seeking behavioral health services across virtual and facility-based settings.
Talkspace recently introduced Tee, an artificial intelligence-powered mental health guide designed to provide subscribers with support and feedback between appointments or as a standalone companion. The company says the product was developed to meet HIPAA privacy standards.
“Joining UHS allows us to accelerate the mission that has guided Talkspace from the beginning: making high-quality mental healthcare more accessible to more people,” Talkspace Chief Executive Officer Jon R. Cohen stated.
UHS expects the combination to improve transitions among virtual, outpatient and inpatient behavioral health services while strengthening coordination between behavioral and physical health care.
Treating practitioners remain individually licensed and exercise independent professional judgment in diagnosing and treating patients according to their training, scope of practice and licensure, according to UHS.
