Mineralys Grants Equity Awards to Two New Employees

RADNOR, PA — Mineralys Therapeutics Inc. (Nasdaq: MLYS) granted stock options and restricted stock units covering a combined 52,080 shares to two newly hired non-executive employees as employment inducements under Nasdaq listing rules.

The company’s board compensation committee approved options covering 29,760 shares and restricted stock units covering 22,320 shares on Sept. 8.

The awards were issued under Mineralys’ 2025 Employment Inducement Incentive Award Plan and were granted as an inducement material to the employees joining the company in accordance with Nasdaq Listing Rule 5635(c)(4).

The stock options vest over four years. Twenty-five percent of the shares underlying the options will vest on the first anniversary of the Sept. 8 vesting commencement date, followed by 1/48th of the shares after each subsequent month, subject to continued employment.

The restricted stock units also vest over four years, with 25% vesting on each of the first four anniversaries of the Sept. 8 commencement date, subject to continued service.

Mineralys is developing treatments targeting hypertension and conditions associated with dysregulated aldosterone, including chronic kidney disease and obstructive sleep apnea.

Its initial product candidate, lorundrostat, is an investigational oral aldosterone synthase inhibitor. The Radnor-based biopharmaceutical company was founded by Catalys Pacific.
