Datavault AI Closes NYIAX Deal to Add Exchange Infrastructure

PHILADELPHIA, PA — Datavault AI Inc. (NASDAQ: DVLT) completed its acquisition of NYIAX Inc., adding blockchain settlement, exchange technology and intellectual property that the company plans to use to commercialize tokenized digital and real-world assets across multiple markets.

The transaction brings NYIAX’s exchange platform, team and patent portfolio under Datavault’s ownership after the companies began integrating their technology through a licensing and marketing agreement in March 2025.

Datavault did not disclose the acquisition price or other financial terms in the release.

The company is positioning NYIAX as the exchange layer for a broader platform designed to originate, value, tokenize and trade assets. Datavault expects the infrastructure to support specialized markets spanning critical minerals, political advertising, athlete name-image-and-likeness rights, healthcare and enterprise data, intellectual property and media rights.

“With NYIAX, we complete a critical infrastructure layer within our ecosystem,” Datavault Chief Executive Officer Nathaniel Bradley said.

Bradley said the acquisition gives Datavault wholly owned exchange infrastructure for contracts and tokenization projects already in its pipeline.

Founded in 2017, NYIAX initially applied its exchange technology to advertising, creating a system for standardized trading and settlement of guaranteed media inventory through forward contracts.

Its platform combines matching and order-management technology with blockchain-based settlement. The infrastructure is designed to extend beyond advertising to other contract-based and tokenized assets.

NYIAX also brings four issued U.S. patents covering electronic trading, matching, transfer, settlement and lifecycle management of variable inventories. The patents — Nos. 10,607,291; 11,410,236; 11,861,707; and 12,198,193 — are jointly owned with NYIAX’s exchange technology partner, according to the company.

A fifth patent application has been filed.

The acquisition also gives Datavault control of Collective Audience, which NYIAX acquired in August 2025. Collective Audience adds business-to-business marketing, audience development, data evaluation and other commercialization capabilities intended to help attract participants to new exchanges.

Datavault plans to pair those capabilities with its own AI-based valuation and tokenization technology as it develops specialized trading platforms.

Among the planned applications is the International Elements Exchange, which is intended to support tokenized critical minerals and commodities. Datavault also cited Project Democracy and the American Political Exchange for political advertising and data markets.

Other potential markets include athlete NIL rights, healthcare and enterprise data, environmental assets, natural resources and intellectual property.

“Markets are not created when assets are digitized,” NYIAX Chief Executive Officer Teri Gallo said. “Markets are created when assets can be trusted, valued, exchanged, and discovered under a transparent, common framework.”

Bradley and Gallo are expected to lead integration, strategic partnerships and market-development work. Datavault Chief Financial Officer Brett Moyer will also participate in investor and strategic-partner discussions about the combined business.

As part of the integration, NYIAX expects to recommend two representatives for consideration by Datavault’s board, subject to the company’s governance and approval process.
