Datavault AI Buys CyberCatch for $94.5 Million in Cash

PHILADELPHIA, PA — Datavault AI Inc. (NASDAQ: DVLT) agreed to acquire cybersecurity company CyberCatch Holdings Inc. for $94.5 million in cash, expanding its digital infrastructure platform into automated security testing, regulatory compliance and quantum-resistant encryption.

The transaction values CyberCatch’s approximately 26.8 million outstanding common shares at $3.53 apiece. Outstanding dilutive securities will be exchanged on a cashless-exercise basis, according to the companies’ agreement.

CyberCatch trades on the TSX Venture Exchange under the symbol CYBE and on the OTCQB market under CYBHF. The acquisition will proceed through a court-approved plan of arrangement under British Columbia’s Business Corporations Act.

Completion remains subject to customary board, stock exchange, shareholder and applicable regulatory approvals.

Datavault plans to integrate CyberCatch’s artificial intelligence-based compliance and cyber risk platform into its Quantum Private Network ecosystem, adding automated cybersecurity checks and remediation capabilities to its Data Vault Artificial Intelligence Platform.

CyberCatch is expected to operate as a Datavault subsidiary from San Diego after the transaction closes. Founder and Chief Executive Officer Sai Huda will become president of the subsidiary and report to Datavault Chief Executive Officer Nathaniel T. Bradley.

The acquisition extends Datavault’s existing operations in data monetization, digital credentials, digital engagement and real-world asset tokenization into a cybersecurity market that Gartner projected would reach $213 billion in worldwide spending in 2025.

CyberCatch is also adapting its patent-pending, multi-authority, attribute-based encryption technology to resist potential threats from quantum computing. Datavault expects to pair that technology with continuous AI-driven penetration testing for customers in health care, defense, manufacturing, financial services and energy.

The companies cited CrowdStrike research indicating that AI-enabled adversary attacks increased 89% in 2025, while the average time between an initial intrusion and data exfiltration fell to 29 minutes.
