WILMINGTON, DE — Onfolio Holdings Inc. (Nasdaq: ONFO, ONFOW) has until November 23, 2026, to restore compliance with Nasdaq’s financial listing requirements after receiving an extension that temporarily preserves its exchange listing despite a stockholders’ equity shortfall.
The Wilmington-based operator of online businesses said Nasdaq’s Listing Qualifications Staff granted the extension in an October 5 letter following a review of the company’s compliance submissions.
Onfolio received its initial deficiency notice on May 26 after failing to maintain the $2.5 million minimum stockholders’ equity required under Nasdaq Listing Rule 5550(b)(1).
The company also failed to meet either of the alternative continued-listing standards based on the market value of listed securities or net income from continuing operations.
The extension gives Onfolio additional time to satisfy Nasdaq’s financial requirements but does not eliminate the possibility of delisting.
Under the extension’s terms, Onfolio must regain compliance by November 23 and submit a Form 8-K to the Securities and Exchange Commission and Nasdaq documenting its compliance with the requirements specified in the exchange’s letter.
Nasdaq will continue monitoring the company’s financial standing. The October 5 letter also specifies that Onfolio could face delisting if it fails to demonstrate compliance when filing its periodic report for the year ending December 31, 2026.
If Onfolio fails to satisfy the extension’s conditions, Nasdaq staff will issue a written delisting notification. The company would have the right to appeal that determination to a Nasdaq Hearings Panel.
The extension does not immediately affect trading in Onfolio’s common stock or warrants on the Nasdaq Capital Market.
The company also said the notice does not affect its business operations or SEC reporting obligations.
Onfolio cautioned that there is no assurance it will regain compliance before the November deadline or maintain compliance with Nasdaq’s continued-listing standards afterward.
The company acquires and operates online businesses in marketing, education and e-commerce, with a focus on generating operating cash flow from its portfolio.
Onfolio also uses artificial intelligence to support business operations, develop internal tools and create products.
Its common stock trades on Nasdaq under ONFO, while its warrants trade under ONFOW. The company also identifies ONFOP as an over-the-counter security.
The November 23 deadline represents the next immediate regulatory milestone for Onfolio as it seeks to preserve its Nasdaq listing.
