INOVIO Issues Equity Award to New Hire as It Rebuilds for Its Next Act

PLYMOUTH MEETING, PAINOVIO (NASDAQ: INO) said it has granted an equity award to a newly hired employee under its 2022 Inducement Plan, a move commonly used by public companies to attract talent during periods of transition and rebuilding.

The company said its board compensation committee approved the award in accordance with Nasdaq Listing Rule 5635(c)(4), which permits inducement grants to new employees outside of shareholder-approved equity plans. The grant consists of an option to purchase 24,000 shares of INOVIO common stock, with a grant date of November 28, 2025.

The option carries an exercise price of $2.06 per share, matching the closing price of INOVIO’s stock on the grant date. The award will vest over three years, with one-third of the shares vesting on each of the first, second, and third anniversaries of the grant date, subject to the employee’s continued employment with the company. The grant is governed by the terms of a stock option agreement under the Inducement Plan.

Inducement grants are frequently used by biotechnology companies to recruit specialized talent without drawing from existing equity pools, particularly as firms balance cost controls with the need to advance development programs.

INOVIO is focused on developing and commercializing DNA-based medicines aimed at treating and preventing HPV-related diseases, cancer, and infectious diseases. The company’s platform is designed to optimize both the design and delivery of DNA medicines that prompt the body to produce its own disease-fighting responses.

The equity award comes as INOVIO continues to position itself for future growth while navigating a challenging biotech funding environment that has placed increased emphasis on talent retention, disciplined spending, and long-term execution.
