Business News

CLAYMONT, DE — Shareholders of Archimedes Tech SPAC Partners II Co. (NASDAQ: ATII) approved its proposed merger with semiconductor equipment and advanced materials company Forge Nano Inc. on October 16, clearing a major hurdle toward taking Forge Nano public through a special purpose acquisition company.

The transaction is expected to close in the coming days, subject to remaining closing conditions, according to Archimedes II. Once completed, the combined company is expected to operate as Forge Nano Holdings Inc., with its common shares and warrants trading on Nasdaq under the symbols NANO and NANOW, respectively.

Shareholders also approved all other proposals related to the merger considered at the extraordinary general meeting.

The vote advances Forge Nano’s planned entry into public markets through a merger with Archimedes II, which raised $230 million in its February 2025 initial public offering.

Forge Nano develops atomic layer deposition technology used to apply nanoscale coatings to materials and components. The company targets semiconductor manufacturing, including applications involving artificial intelligence chips, as well as advanced battery technology for defense applications.

Its Atomic Armor platform uses nanoscale surface coatings designed to improve material performance. The technology forms part of the company’s strategy to serve semiconductor equipment and advanced materials markets.

Archimedes II’s units, ordinary shares and warrants currently trade on Nasdaq under the symbols ATIIU, ATII and ATIIW.

The shareholder vote results, tabulated by an independent inspector of elections, will be disclosed in a Form 8-K filing with the U.S. Securities and Exchange Commission.
