Dot Ai Closes $65 Million Deal to Address Nasdaq Listing Risk

Business news

WILMINGTON, DE — Dot Ai (Nasdaq: DAIC) has completed an approximately $65 million all-stock acquisition of electric vehicle carsharing operator Envoy Technologies, a transaction designed to expand the company’s revenue-generating operations while addressing a stockholders’ equity deficiency that threatens its continued Nasdaq listing.

The Wilmington-based company, legally known as CID HoldCo Inc., acquired 100% of Envoy from BladeRanger Ltd. (TASE: BLRN). The purchase was valued using an agreed reference price of $6 per share of Dot Ai common stock.

Dot Ai believes the acquisition brings it into compliance with Nasdaq’s $2.5 million minimum stockholders’ equity requirement under Listing Rule 5550(b)(1). The company must still submit supporting evidence to the Nasdaq Hearings Panel, which will determine whether it satisfies the requirement for continued listing.

The closing follows Dot Ai’s settlement of senior secured debt and completion of new working-capital financing in September.

The transaction also carries significant ownership implications. BladeRanger is expected to hold a majority of Dot Ai’s common stock on an as-converted basis after the applicable share conversions, subject to regulatory limitations and required approvals.

Dot Ai financed the acquisition through common shares and Series C Convertible Preferred Stock. The approximately $65 million valuation includes shares issuable upon conversion of an existing $12.5 million Envoy convertible note held by Blink Charging Co. (Nasdaq: BLNK).

The note remains outstanding following amendments made in connection with the acquisition. Conversion into Dot Ai common stock generally requires stockholder approval and an effective resale registration statement, subject to specified exceptions.

Dot Ai intends to seek stockholder approval for the conversion of its Series C preferred shares where required by Nasdaq rules. The parties have agreed to use reasonable best efforts to secure that approval by January 31, 2027, although approval was not required to close the transaction.

The acquisition was approved by a special committee of independent Dot Ai directors and the company’s board.

Operationally, the purchase moves Dot Ai into the electric vehicle carsharing market through Envoy’s existing fleet, customers and property partnerships.

Envoy provides electric vehicles at residential developments, hotels, resorts and campus properties across the United States. Customers reserve vehicles by the hour or day through a mobile application, while Envoy manages insurance, maintenance and fleet operations.

Property owners can offer the service without purchasing or operating vehicles themselves and may generate additional revenue through the arrangement.

Dot Ai plans to expand Envoy’s fleet and property network across U.S. markets, with potential entry into selected international markets over time. It also intends to integrate its asset-intelligence technology into vehicle tracking, monitoring and fleet management.

“Envoy expands our reach into shared mobility, creating new opportunities to apply Dot Ai’s asset-intelligence technology in a growing market,” Chief Executive Officer Edmund S. Nabrotzky stated.

Nabrotzky also identified the Nasdaq equity requirement as a central consideration in the transaction.

Charles Maddox, Dot Ai’s chief financial and operating officer, emphasized that the acquisition provides an operating business rather than a platform requiring development from the ground up.

“With the acquisition closed, our focus turns to funding that growth and putting Dot Ai’s technology to work across Envoy’s fleet,” Maddox stated.

The deal gives Dot Ai an established commercial operation and a potential route toward resolving its Nasdaq compliance issue, although the listing determination and certain share conversions remain subject to further approvals.
