Carpenter Technology Names New General Counsel for 2027

Carpenter Technology Corporation

PHILADELPHIA, PA — Carpenter Technology Corporation (NYSE: CRS) will transfer responsibility for its legal and regulatory operations to longtime executive Jed S. Freeman on January 1, 2027, following the retirement of General Counsel James D. Dee, marking a leadership transition at the specialty materials manufacturer.

Dee, who serves as senior vice president, general counsel and secretary, will retire December 31 after 16 years with the company. He will remain in his position through year-end to support the transition.

Freeman, currently deputy general counsel, has been appointed vice president, general counsel and secretary. He has worked at Carpenter Technology for 19 years.

The appointment places an internal successor in charge of the company’s legal affairs, including matters involving regulatory compliance, employment and corporate governance.

Freeman joined Carpenter Technology in 2007 and has held responsibilities covering legal, regulatory, compliance, real estate and employment matters.

Before joining the company, he spent more than 14 years as a litigation attorney, handling complex commercial disputes, employment litigation, workers’ compensation cases and other civil matters.

He earned his undergraduate degree from Rutgers University and his law degree from Saint Louis University School of Law.

Tony Thene, Carpenter Technology’s chairman, president and chief executive officer, cited Freeman’s familiarity with the company’s operations and regulatory requirements as factors supporting the succession.

“Jed is highly respected with a deep knowledge of our business, our industry and the legal and regulatory matters that affect our Company,” Thene said.

The leadership change follows Dee’s 16-year tenure overseeing the company’s legal function. Thene described him as a trusted adviser and credited his contributions to Carpenter Technology during that period.

Freeman’s appointment becomes effective immediately after Dee’s retirement, maintaining continuity in the company’s senior legal leadership.
