Axalta Sets Shareholder Vote as SEC Clears Merger Filing With AkzoNobel

PHILADELPHIA, PA — Axalta Coating Systems Ltd. (NYSE: AXTA) has scheduled an Aug. 5 shareholder vote on its proposed merger with Dutch paints and coatings maker Akzo Nobel N.V. after the U.S. Securities and Exchange Commission declared effective the registration statement tied to the transaction.

The Philadelphia-area coatings manufacturer said its stockholders will meet at 9 a.m. EDT on Aug. 5 to consider the proposed all-share merger of equals, a deal that would combine two major players in the global paints and coatings industry.

The SEC’s declaration of effectiveness for AkzoNobel’s Form F-4 registration statement marks a key regulatory milestone for the transaction and allows the companies to move forward with shareholder approval processes.

Axalta has filed a definitive proxy statement detailing the proposed merger and the matters to be considered by shareholders. The company said the materials are available through its investor relations website at https://ir.axalta.com/sec-filings/all-sec-filings.

The transaction remains subject to approval by shareholders of both companies, as well as required regulatory clearances and other customary closing conditions.

If approved, the companies expect the merger to close either late this year or in early 2027.

The proposed combination would create one of the world’s largest coatings companies, bringing together Axalta’s industrial and automotive coatings businesses with AkzoNobel’s portfolio of decorative paints and performance coatings.
