WILMINGTON, DE — Acorn Energy Inc. (Nasdaq: ACFN) acquired the remaining 1% stake in its principal operating subsidiary, OmniMetrix, through an all-stock transaction that gives the infrastructure monitoring company full ownership while preserving cash and eliminating minority-interest deductions.
Acorn issued 25,096 new common shares to former OmniMetrix Chief Executive Officer Walter Czarnecki in exchange for his ownership interest. The issuance represented approximately 1% of Acorn’s previously outstanding stock, bringing its total outstanding shares to 2,534,714.
The transaction removes a noncontrolling interest that reduced Acorn’s 2025 net income by $34,000, or approximately 1 cent per share. The company expects the ownership change to simplify financial reporting and increase stockholders’ equity.
“The exchange enabled us to secure 100% ownership of OmniMetrix and to simplify Acorn’s accounting and financial statements, all while providing a very modest accretive benefit to net income per share,” Chief Executive Officer Jan Loeb stated.
Loeb added that the simplified structure “could also prove beneficial down the road in potential M&A discussions.”
OmniMetrix provides remote monitoring and control systems for standby generators, natural gas pipelines and other infrastructure. Its OMNI360 product line extends those services to cell towers, data centers and utility networks.
The subsidiary serves tens of thousands of commercial and residential endpoints, including more than 25 Fortune or Global 500 companies. Its customers operate across telecommunications, manufacturing, health care, retail, public transportation, energy distribution and government facilities.
Acorn reported that OmniMetrix’s recurring monitoring revenue has tripled since 2016. Its technology also allows enrolled backup generators to provide automated demand-response support to electrical grids.
