Ocugen Raises $20.9M to Extend Cash Runway Into Late 2026

MALVERN, PA — On Friday, Ocugen (Nasdaq: OCGN) closed a $22.5 million registered direct stock offering, strengthening its balance sheet as the gene-therapy developer pushes forward with programs targeting blinding eye diseases.

The company sold 15 million shares of common stock at $1.50 per share, generating net proceeds of approximately $20.85 million after underwriting commissions and offering-related expenses. The financing was led by RTW Investments, with participation from new and existing investors.

Ocugen said it plans to use the proceeds for general corporate purposes, including capital expenditures, working capital, and administrative expenses. The company expects the infusion to extend its cash runway into the fourth quarter of 2026, providing additional financial flexibility as it advances its pipeline.

Oppenheimer & Co. served as the sole book-running manager for the offering.

The transaction was completed under Ocugen’s existing shelf registration statement on Form S-3, which was previously filed with and declared effective by the U.S. Securities and Exchange Commission. A prospectus supplement detailing the terms of the offering has been filed with the SEC and is available at www.sec.gov.

Ocugen focuses on developing gene therapies for blindness and vision-threatening diseases using its modifier gene therapy platform, which is designed to address complex conditions driven by multiple gene networks. The company’s pipeline includes programs for inherited retinal diseases and other causes of vision loss, including retinitis pigmentosa, Stargardt disease, and geographic atrophy associated with late-stage dry age-related macular degeneration.
