PENN Entertainment Appoints Three Independent Directors to Board

WYOMISSING, PA — PENN Entertainment, Inc. (Nasdaq: PENN) has appointed Heather Ace, Jeffrey Fox and Fabio Schiavolin as independent directors to its board, effective immediately, the company announced.

The appointments were made in connection with a cooperation agreement between PENN and HG Vora Capital Management, LLC and certain affiliates, which the company said will be filed with the U.S. Securities and Exchange Commission on a Form 8-K.

The agreement includes customary voting and standstill provisions that will remain in effect through the company’s 2027 Annual Meeting of Shareholders.

David Handler, chair of PENN’s board, said the new directors bring experience relevant to the company’s operations.

“On behalf of the Board, we are pleased to welcome Heather, Jeff and Fabio,” Handler said, adding that each brings “deeply relevant experience.”

Ace currently serves as executive vice president and chief human resources officer at Qualcomm Incorporated.

She previously served as chief human resources officer at Dexcom and held several senior human resources roles at Orexigen Therapeutics and Volcano Corporation.

Earlier in her career, Ace was a partner at Gray Cary Ware & Freidenrich, now part of DLA Piper, where she focused on litigation and employment law related to mergers and acquisitions.

She holds a bachelor’s degree in Law and Society from the University of California, Santa Barbara, and a law degree from Santa Clara School of Law.

Fox is the chief executive officer and founder of investment firm Circumference Group.

He previously served as president and chief executive officer of Endurance International Group Holdings, Inc., and earlier led Convergys Corporation as president and CEO.

Fox also held roles at Alltel Corporation and began his career in investment banking at Merrill Lynch and Stephens Inc.

He earned a bachelor’s degree in economics from Duke University.

Schiavolin previously served as chief executive officer of Snaitech S.p.A., an Italian gaming and entertainment company.

During his tenure, the company completed a merger with gaming technology firm Playtech plc.

Before leading Snaitech, Schiavolin founded Cogetech, which merged with Snai in 2015 to form Snaitech.

He began his career at casino and gaming machine operator Cirsa and holds a master’s degree in business administration from the University of Bologna.

PENN Entertainment operates casinos, racetracks and online sports betting platforms across 28 jurisdictions in North America.

The company also operates digital sports betting and iCasino platforms and manages the PENN Play loyalty program, which has more than 33 million members.
