Madrigal Pharmaceuticals Expands Workforce With New Equity Grants to Staff

CONSHOHOCKEN, PAMadrigal Pharmaceuticals Inc. (NASDAQ: MDGL) has issued a new round of equity inducement awards to 24 non-executive employees, strengthening its talent base as the company advances commercial and clinical programs for its flagship MASH therapy.

The awards, granted December 1 under Madrigal’s 2025 Inducement Plan, were approved by the company’s independent Compensation Committee in line with Nasdaq Listing Rule 5635(c)(4), which permits equity grants used to attract new hires.

In total, employees received options to purchase 4,099 shares of common stock and 14,630 time-based restricted stock units. The stock options carry an exercise price of $579.45 per share, matching the closing price on the grant date. Option vesting follows a standard schedule: 25 percent vests after one year, with the remainder vesting in equal quarterly installments thereafter. The restricted stock units vest in four equal annual installments, contingent on continued employment.

The company said the grants are intended as material incentives for employees accepting roles at Madrigal during a pivotal phase of its growth. Madrigal is commercializing Rezdiffra (resmetirom), its once-daily THR-β agonist and the first therapy approved in both the United States and European Union for patients with metabolic dysfunction-associated steatohepatitis (MASH) with moderate to advanced fibrosis. A Phase 3 outcomes trial is underway evaluating the drug in compensated MASH cirrhosis.

With MASH emerging as a major global health challenge and demand for effective treatments rising, Madrigal continues investing in scientific and operational talent to support long-term expansion in the metabolic liver disease market.
