PHILADELPHIA, PA — Enviri Corporation (NYSE: NVRI) announced Monday that its Board of Directors has authorized a formal strategic review aimed at closing the valuation gap between its market price and the company’s underlying asset value.
The process will include evaluating a range of options, including a potential tax-efficient sale or spin-off of its Clean Earth business, as well as continuing to execute its current operational strategy. The review is being conducted with assistance from outside advisors and legal counsel.

Enviri, which provides environmental and infrastructure solutions globally, has seen its public market valuation trail what analysts estimate to be the combined worth of its individual businesses. The Clean Earth unit, which specializes in waste management and recycling services, has been seen by some investors as a strong candidate for separation given its distinct operational profile and value potential.
The company emphasized that there is no set timeline for the review and no guarantee that it will result in a specific transaction. Enviri stated it will not provide further updates unless a definitive course of action is determined.
BofA Securities and Jefferies LLC are acting as financial advisors to Enviri, while Fried, Frank, Harris, Shriver & Jacobson LLP is providing legal counsel during the review process.
The announcement signals a potential turning point for Enviri, which has faced pressure to streamline its structure and improve its stock performance in a competitive industrial landscape.
