PHILADELPHIA, PA — Enviri Corporation (NYSE: NVRI) has released the outcomes from its 70th Annual Meeting of Stockholders, which was conducted virtually on April 24.
Stockholders voted in favor of all eight nominees to the company’s Board of Directors, approving their service until the 2026 Annual Meeting. Additionally, Deloitte was ratified as the company’s independent auditor for the fiscal year ending December 31, 2025.
Key measures were also approved during the meeting. Stockholders supported the company’s executive compensation on an advisory basis and enacted several amendments. Among these were Amendment No. 5 to the 2013 Equity and Incentive Compensation Plan, Amendment No. 3 to the 2016 Non-Employee Directors’ Long-Term Equity Compensation Plan, and a critical update to the company’s Certificate of Incorporation. The latter aligns with recent adjustments in Delaware law, limiting the liability of certain officers.
