EXTON, PA — West Pharmaceutical Services, Inc. (NYSE: WST) announced that it has entered into a definitive agreement to sell all manufacturing and supply rights for its SmartDose® 3.5mL On-Body Delivery System, along with associated facilities, to AbbVie (NYSE: ABBV) for total consideration of $112.5 million at closing.
The transaction, which is subject to customary closing conditions and working capital adjustments, is expected to close in mid-2026.
West said it will continue the commercial supply of the SmartDose 3.5mL On-Body Delivery System prior to closing and will execute ongoing critical project commitments. The agreement also includes the potential for additional payments tied to the achievement of certain milestones before the transaction is finalized.
Eric M. Green, president, chief executive officer, and chair of the board at West, said the decision followed a portfolio review and reflects a strategic realignment.
“West pioneered the innovation of the on-body delivery device technology for complex injectable medicines, which has improved the lives of people around the world,” Green said. “As part of our portfolio review, we have determined it is best to transition the SmartDose 3.5mL product to AbbVie. This decision aligns with our ongoing commitment to our customer development pipeline and patient-centric approach for large-dose on-body delivery devices to drive durable and profitable growth.”
West said revenue from the SmartDose 3.5mL system is expected to account for approximately 4 percent of total company revenue in fiscal year 2025. Additional details are expected to be provided when the company issues its 2026 guidance during its fourth-quarter 2025 earnings call.
The company emphasized that it will continue to develop and manufacture other SmartDose platforms, including the SmartDose® 10mL On-Body Delivery System and adaptive technologies designed to support larger-volume drug delivery.
